ii2020 in partnership with JVP and AstraZeneca are launching their first digital health program as a vehicle for providing promising digital healthcare startups with the knowledge, resources, market access and funding of the world’s biggest companies.

​

* These terms constitute a binding legal agreement between the PlayBeyondBio Partners (as defined below) and each applicant ("Applicants"). Submission of an application to join the PlayBeyondBio program shall be deemed as the Applicant's acceptance of the terms and conditions hereunder. Applicants selected for the Program (as defined below) shall be defined herein as "Participants", such definition not to derogate from the Participants' undertakings hereunder as "Applicants".

 

Acceleration Business Program

PlayBeyondBio Digital Health Accelerator has been established by JVP, ii2020 and AstraZeneca ("PlayBeyondBio Partners").

​

In the course of 6 months (the "Term"), selected startups (“Participants”) will team up with ii2020, JVP, AstraZeneca, Microsoft, Kahn Sagol Maccabi research and innovation institute – KSM, Shaare Zedek Medical Center and other partners (the “Program Partners”) – to crystallize their solution, perfect the product-market-fit, validate its efficacy and relevance and prepare for the next stage of their venture build-up (the "Program"). One of the possible outcomes of participating in the program may be a joint pilot/MVP/POC, and or the offer to invest in your startup.

Fields

​

The PlayBeyondBio program is open to Participants - startup companies addressing  clinical, patient and health systems needs in Oncology and Hemato Oncology, Respiratory (as well as inflammatory and autoimmune), Cardiovascular, Renal and Metabolic diseases through the application of digital health solutions. We’re also interested in additional therapeutic areas and non-clinically-specific platforms. Key unmet needs we are looking to address:

​

  1. Driving earlier, more accurate diagnosis at scale

  2. Supporting patients, physicians and caregivers in managing and monitoring complex and chronic health conditions

  3. Redesigning clinical pathways to generate better patient outcomes

  4. Delivering improved quality of life to patients in a sustainable way

Investment or commercial agreement by JVP and/or AstraZeneca

​

In conjunction, and as part of the PlayBeyondBio program, JVP and/or AstraZeneca may offer Participants the opportunity to receive an investment and/or commercial agreement (the "Investment” or “Commercial Agreement", respectively).

​

JVP and AstraZeneca will have sole discretion whether to enter into any evaluation or due diligence process and into an Investment or Commercial Agreement with a Participant. Any such engagement shall be subject to negotiation and finalization of the relevant definitive agreements, under the commercial terms and satisfactory due diligence to be performed by JVP and/or AstraZeneca. Neither PlayBeyondBio Partners nor any of their affiliates make any representations or warranties, express or implied, with respect to any potential Investment or Commercial Agreement.

Funding Value-Add

​

Select Participant may be offered to enter into a funding participation agreement with the PlayBeyondBio Partners – all to be mutually agreed with the Participants on a per case basis.

Submission and further Procedures

​

To apply for joining the Program, please submit your application, in English, in our website: https://www.PlayBeyondBio.com/  until March 11, 2020. At the sole discretion of PlayBeyondBio Partners, late submissions may be considered eligible.

​

The PlayBeyonedBio Partners may request supplementary materials to assist in the evaluation or due diligence.

​

The PlayBeyondBio Partners shall not be obligated, in any way, to select any Applicant’s submission to participate in the Program, or to consider any Participant for Investment or any Commercial Agreement.

​

The primary contact for each Participant may be notified by e-mail of the application status after each relevant stage in the selection process. Personal meetings with the Participant's management team members may be required during the various stages of the selection process. Additionally, the PlayBeyondBio Partners may request, at any time, additional information from any Participant in order to better evaluate an application’s suitability for the Program, or for further Investment due diligence or a potential Commercial Agreement evaluation.

Eligibility

​

Applications submitted must represent the original work of the submitting team.

​

By submitting an application, the Applicant represents and warrants to the PlayBeyondBio Partners that it has all rights, title and interest in its application and the information it contains is accurate and complete, and that by submitting its application it is not and will not be violating any contract or third party rights including any patent, copyright, trade secret, proprietary or confidential information, trademark, publicity or privacy right. The Applicant agrees to indemnify and defend the PlayBeyondBio Partners, their affiliates, directors, employees and representatives against any claims or lawsuits, including reasonable attorney fees, in connection with such Applicant's application.

​

Applicants that have already secured financing or other capital arrangements will include the information regarding such arrangements in the application form. Any Participant in the process of securing financial or other capital arrangements midway throughout the Program term shall notify the PlayBeyondBio Partners of such arrangements in advance.

​

The PlayBeyondBio Partners shall make efforts to provide feedback to the Applicants regarding their status, but they will not be deemed to be obliged to do so.

​

The eligibility of an Applicant will be determined based on the evaluation of its application that should: (i) address a real need in the market and could be commercialized for large markets; (ii) represent a sustainable competitive advantage in the respective field and market; and (iii) reflect a professional and experienced team. However, the PlayBeyondBio Partners may consider additional criteria or applications that do not meet all said criteria.

Participation in the Program

​

Each Participant will execute the admission agreement with the PlayBeyondBio Partners.

​

Participants are required to fully participate in the curriculum of the Program, including active participation in full day workshops currently planned to be held on a weekly basis and cooperate in full with the Program’s coordinator.

​

Additionally, Participants will set, together with the Program’s coordinator, specific targets and milestones to be obtained during the Program, and are committed to exert their best efforts to successfully meet such targets and milestones. Detailed updates on the targets and milestones’ status and attainment will be provided by Participants within the framework of the Program, on a weekly basis.

   

Confidentiality and Proprietary Rights

​

The Program Partners will not claim ownership rights to any intellectual property included in the application or any intellectual property that will be created by the Participants during the Program.

​

However, PlayBeyondBio Partners may feature the contents received from the Applicants for the purpose of marketing and promotion of the Program or the Participants' participation in the Program.

​

As a matter of convention and practicality, the Program Partners (for the purposes of this Confidentiality and Proprietary Rights clause the term "Program Partners" shall include their representatives, affiliates and any person acting on their behalf), do not sign confidentiality agreements as part of the Program. However, the individuals who will have access to the applications will be the Program Partners' representatives and industry experts who regularly deal with confidential and proprietary information.

 

Additionally, the Program Partners consider a variety of projects, plans, ideas and products as research ideas, product development and investment opportunities, and may be involved in similar projects, ideas, products or services in future.

The Applicants shall ensure that the abstract of the application does not include any confidential information, such that the information may be freely publicized. No proprietary information should be included in any of the materials, either submitted for the program or sent for Program Partners' investment review, which the Applicant would not want disclosed to potential investors.

​

Each Applicant agrees that it will not use any names, trademarks, logos or other copyrighted information of “PlayBeyondBio”, PlayBeyondBio Partners, Program Partners or any variation, adaptation or abbreviation thereof, or of any of its officers, employees, agents, or any trademark or trade name of the above or any affiliate thereof in any advertising or publicity without the prior written permission of such parties. Any reference to PlayBeyondBio, and/or any of the PlayBeyondBio Partners in this document further relate to their affiliates. "PlayBeyondBio" shall mean any person, company, partnership, or other entity which manages or is managed, controls or is controlled by, or is under common control, directly or indirectly, by the same entity.

Applicants, including their teams and individuals considering participation in the Program, are encouraged to obtain their own professional advice regarding applicable securities and intellectual property laws.

EACH APPLICANT VOLUNTARILY RELEASES PLAYBEYONDBIO PARTNERS, PROGRAM PARTNERS, THEIR AFFILIATES, REPRESENTATIVES, DIRECTORS, OFFICERS AND EMPLOYEES FROM ANY LIABILITIES, RESPONSIBILITIES AND ACCOUNTABILITIES ARISING FROM THE PROGRAM.

PLAYBEYONDBIO PARTNERS MAKE NO REPRESENTATIONS OR WARRANTIES, EXPRESS OR IMPLIED, OF ANY KIND CONCERNING PLAYBEYONDBIO OR INVESTMENT. IN NO EVENT SHALL PLAYBEYONDBIO PARTNERS, PROGRAM PARTNERS, THEIR DIRECTORS, OFFICERS, EMPLOYEES, REPRESENTATIVES OR AFFILIATES BE LIABLE FOR ANY ADVICE, INFORMATION OR DECISIONS MADE FOR OR ON BEHALF OF THE PLAYBEYONDBIO OR FOR INCIDENTAL OR CONSEQUENTIAL DAMAGES OF ANY KIND, INCLUDING ECONOMIC DAMAGES OR INJURY TO PROPERTY AND LOST PROFITS, REGARDLESS OF WHETHER ANY OF SUCH SHALL BE ADVISED, SHALL HAVE OTHER REASON TO KNOW OR IN FACT SHALL KNOW OF THE POSSIBILITY OF THE FOREGOING.

Jurisdiction

​

This Agreement will be governed by the laws of the State of Israel. Each Applicant consents to the exclusive jurisdiction and venue of the courts of Jerusalem for any disputes arising out of this Agreement.
